These Terms are a legal agreement between you and Toolbelt, LLC d/b/a Joiner Labs (“Joiner,” “we,” “us”). Toolbelt, LLC is an Arkansas limited liability company. Joiner Labs is its trade name.

These Terms cover joinerlabs.com and everything you buy from us: Personal apps, plans, add-ons and the work we do for you. You agree to them when you check the box at checkout, sign an order or use our services. If you sign up for a business, you confirm you can bind that business. You must be at least 18.

The Privacy Policy, the Refunds page and the Cancellation page are part of these Terms.

If you signed a written agreement with us, that agreement controls where it differs from these Terms. If you signed an earlier agreement with us, you keep the prices and terms in it.

A business day is Monday to Friday, except US federal holidays.

1. What we sell

We build software, websites and AI agents around how you work, and we run them for you. We sell no physical goods.

Personal apps. You tell us in plain words what you want. We confirm we can build it before you pay anything. Then you pay a setup fee and a monthly fee. The monthly fee covers hosting, updates and fixes, and 1 change a month. You can export your data.

Plans for businesses.

  • Solo: an operations app for 1 user. Customers, jobs, schedule, quotes and invoices, on a phone and a computer. Hosting, security updates, fixes, small changes as you go, and email support with a reply within 1 business day.
  • Pro: everything in Solo, plus up to 3 users synced live, 1 AI agent, automations (reminders, review requests, invoice nudges) and priority support with a reply the same business day.
  • Growth: everything in Pro, plus up to 5 users with roles, up to 3 AI agents, a customer portal, a new feature or automation built every month, a 30-minute strategy call and a 1-page report every month, and connections to the tools you already use.

Add-ons. Add-ons go with a plan. The website build or refresh and Meta ads, managed, can also be bought on their own. The add-ons are: website build or refresh; Meta ads, managed; Google Business Profile setup; local presence; and the quote and estimate tool. What each add-on includes is on the pricing page when you order, and in your order confirmation.

Enterprise and Joiner Connect. Enterprise is quoted. Joiner Connect is by application. Neither starts until you and we sign a written agreement. That agreement sets the scope, the price and the terms, and it controls where it differs from these Terms.

Setup and monthly. Setup is project work you pay for once. The monthly fee is a subscription. If you ask for work that is not in your plan, add-on or order, we tell you the price and get your OK before we start.

2. Fees and billing

All prices are in US dollars (USD). Your card statement shows JOINER LABS.

Offer Setup (USD) Monthly (USD)
Personal app $47 $15
Solo $250 $47
Pro $477 $87
Growth $947 $147
Add-on Price (USD)
Website build or refresh, on its own $447 setup + $27 a month
Website build or refresh, with any plan $397 setup + $27 a month
Meta ads, managed, with a plan $97 a month
Meta ads, managed, on its own $197 a month
Google Business Profile setup $197 one time
Local presence $147 a month
Quote and estimate tool $497 one time

Enterprise and Joiner Connect have no public price. They are priced in your written agreement.

What you pay. The price shown at checkout is the price you pay. You pay each setup fee once, when you order. Monthly fees are billed in advance, on the same day each month, starting on the date shown at checkout.

The “with a plan” prices. The “with a plan” prices apply while you have an active plan. If your plan ends and an add-on continues, the “on its own” monthly price applies from your next billing date. We email you before that happens. A setup fee you have already paid does not change.

Taxes. Prices do not include taxes. If the law requires us to collect a sales, use or similar tax, we add it and show it before you pay.

Payment. Payments run through Stripe. We never see or store your full card number. By paying, you confirm you may use that card. Stripe’s own terms apply to the payment.

Failed payments. If a payment fails, we email you. You can update your card from the billing link in your receipt. We may try the card again. If a payment is still unpaid 7 days after it first failed, we may pause your service until you pay. If it is still unpaid after 30 days, we may cancel the plan. You still owe any unpaid amount.

Price changes. We may change our prices. We give you at least 30 days’ notice by email before a new monthly price applies to you. A price change never applies to a month you have already paid. If you do not want the new price, cancel before the change takes effect and you will not be charged it. A new setup price applies only to new orders.

Card disputes. Talk to us before you dispute a charge. Email support@joinerlabs.com. We fix most billing problems within 1 business day.

3. Auto-renewal and cancellation

Renews monthly until you cancel. Cancel any time from the billing link in your receipt or by email to support@joinerlabs.com.

  • Your plan and your monthly add-ons renew every month, on your billing date, until you cancel. We charge the card you gave us.
  • You can cancel any time. Cancelling takes 1 or 2 clicks from the billing link in your receipt. If you email us, we honor your request within 1 business day.
  • Your service runs to the end of the month you have paid for. We do not give partial-month refunds.
  • You can cancel a plan, an add-on, or both. Cancelling stops the next charge for what you cancel.
  • Your cancellation counts from the day we receive your request. If your email reaches us before your next billing date and you are still charged because of a delay on our side, we refund that charge.

The Cancellation page has the steps and says what happens next.

4. Refunds

These are the refund rules. The same words are on the Refunds page, the pricing page and at checkout.

  • Websites: your website goes live within 14 days of the day we have your logo, photos and intake answers, or your website setup fee comes back in full.
  • Everything else: the setup fee is refundable in full until the build starts. Once the build starts, the setup fee is earned.
  • Monthly fees: billed monthly in advance. Cancel any time. Your service runs to the end of the paid month. There are no partial-month refunds.
  • Personal apps: we confirm we can build it before you pay.
  • Ad spend: paid by you to Meta (or the ad platform you use). Joiner never refunds ad spend.

To ask for a refund, email support@joinerlabs.com. The Refunds page explains how and how long it takes.

5. Ad spend

When we run ads for you, you pay the ad platform directly. That money is called ad spend. It goes on your own card or account with Meta or another platform. It does not go through us, and it is not part of our fees.

You set your ad budget. We set up your campaigns to the budget you approve. Ad spend that has already run is between you and the platform. Joiner does not refund it.

6. Ownership

What you own. You own your domain, your accounts, your website files and your data. Accounts means the ad, business-profile, social, hosting and registrar accounts that belong to your business. When we set up a domain or an account for you, we set it up in your name.

What we own. We own the apps we build, along with our code, templates, tools and know-how. We license each app to you while your plan is active. The license lets you use it for your own business (for a Personal app, for your own personal and household use). It is non-exclusive, non-transferable and ends when your plan ends. You may not copy, resell or reverse engineer the apps, or use them to build a competing product.

Your content. You give us permission to use your content (logo, photos, text and data) only to build and run services for you. You promise you have the right to give it to us.

Showing your work. We do not name you or show your business publicly without your OK. An email is enough.

At cancellation. You can request an export of your data. See section 17.

Ideas. If you send us ideas or feedback about our services, we may use them without owing you anything.

7. Using our services

Do not use our services to:

  • break the law or infringe someone else’s rights;
  • send spam or messages people did not ask for;
  • post or send anything false, threatening, hateful, harassing or harmful;
  • run ads or pages that break the rules of Meta, Google or any other platform you use;
  • attack, probe or overload our systems, or get around any limit or security measure;
  • copy, resell or reverse engineer the apps we build; or
  • do anything section 9 forbids.

You are responsible for:

  • what your website, ads and messages say about your business, including licenses and claims you make;
  • the consents the law requires before you send texts or marketing emails through our tools;
  • giving us accurate information and the access we need, on time;
  • keeping your logins safe and telling us at once if you think they were misused; and
  • following the rules of the platforms that host accounts we manage for you.

Suspension. If you break this section, we may remove content or pause your service. We tell you first by email when we can. We act at once if the risk is urgent, for example a security threat or unlawful use. If you fix the problem, we restore the service. A pause caused by your breach does not earn a refund of fees for that time.

8. Accounts

Keep your account details accurate. You are responsible for what happens under your account. People you add as users must follow these Terms, and you answer for them.

9. AI features

Our AI features, such as agents that answer new inquiries and draft quotes and follow-ups, write drafts for you to review and approve. Read each draft before it goes out. Anything an agent sends for you is sent in your name and counts as sent by you.

  • AI can be wrong, out of date or incomplete. We do not guarantee that any AI output is accurate or right for your purpose.
  • Do not use AI features to make, or help make, decisions about a person’s hiring or employment, credit, housing, insurance, health care or education.
  • Do not use AI features to give legal, medical or financial advice.
  • Some places require you to tell people when they are dealing with an AI. That duty is yours. Tell us if you want a notice added.
  • To produce AI outputs, we send the content needed to AI model providers that work for us. The Privacy Policy says more.

10. Other companies’ services

Our services rely on other companies. They include Stripe (payments), Meta (ads), Google (including Business Profile and Analytics), and our hosting, domain, email and app infrastructure providers. Their terms and policies apply to your use of their services.

We do not control these companies. We are not responsible for what they do, including suspending an account, rejecting an ad, changing a rule or having an outage. If a change by any of them forces us to change how a service works, we tell you.

11. No guaranteed results

We do not promise leads, clicks, calls, rankings, sales, revenue or any other result. Ads, search results and customers depend on the platforms, your market, your budget, your competition and how you follow up. Examples of our past work are not predictions for you.

12. Support and availability

For help with an account you already have, email support@joinerlabs.com. For a new project, email hello@joinerlabs.com. Solo plans get a reply within 1 business day. Pro and Growth plans get priority support, with a reply the same business day.

We work to keep our services running. We do not promise they will never be interrupted. We may take a service offline for maintenance, and we try to tell you first when it will be for more than a short time.

13. Data in your apps

If you use an app, website or agent we run for your business, you decide what personal information goes into it, such as your customers, leads and staff. For that information, you are the business and we are your service provider. We:

  • process it only to provide the services you ordered and as these Terms allow;
  • do not sell it, and do not share it for advertising;
  • do not use it outside our direct relationship with you;
  • protect it with reasonable security safeguards;
  • use providers (hosting, AI, email and text delivery) who must protect it too;
  • help you answer your customers’ privacy requests when you ask;
  • tell you without undue delay if we learn of a breach of it; and
  • return or delete it when service ends, as section 17 says.

You must have the right to give us this information. You must also tell the people it is about what the law requires. If you need a signed data processing addendum, email support@joinerlabs.com.

Our Privacy Policy explains how we handle personal information on joinerlabs.com and in our own business records.

14. Warranties

Except for the promises in these Terms, including the refund promises in section 4, we provide the services “as is” and “as available.” We do not promise they will be error-free, never interrupted or right for every need you have. To the most the law allows, we give no other warranties, including the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Some places do not allow some of these limits. Where that is so, they apply only as far as the law allows.

15. Limit on liability

To the most the law allows: (a) neither of us is liable to the other for indirect, special, incidental, consequential or punitive damages, or for lost profits, revenue, data or goodwill, even if told they were possible; and (b) our total liability to you for all claims about the services is limited to the total fees you paid us in the 12 months before the claim arose.

These limits do not apply to your duty to pay fees, to fraud or willful misconduct, or to liability the law does not allow anyone to limit.

16. Indemnity

You cover third-party claims about your content and your use. You will defend us against, and pay what a court finally awards or what you agree to settle for in, a third-party claim that comes from (a) content, data or instructions you give us that infringe someone’s rights or break the law, or (b) your use of the services in breach of section 7.

We cover third-party claims about our software. We will defend you against, and pay what a court finally awards or what we agree to settle for in, a third-party claim that software we built for you infringes a US patent, copyright or trademark. This does not cover your content, anything you changed, or anything combined with other materials.

For either kind of claim, the party asking for cover must tell the other promptly, let the other control the defense and settlement, and cooperate. Neither of us may settle in a way that admits fault for the other without the other’s OK. Our payments under this section count toward the limit in section 15.

17. Term and termination

These Terms start when you accept them and last as long as you have any service with us. You can cancel any time (section 3).

We may suspend or end your service:

  • if you do not pay (section 2);
  • if you break these Terms and do not fix it within 10 days of our email;
  • at once, if your use is unlawful, harms others or puts our systems or other customers at risk; or
  • if a provider we depend on stops supporting the service, or we stop offering it.

We may also end a service for any other reason with at least 30 days’ notice. If we end your service for a reason other than your breach or non-payment, we refund the unused part of the month you paid. If the build is not finished, we also refund the setup fee.

When service ends:

  • Your license to the apps ends at the end of the paid month, or when we end the service.
  • Your domain, your accounts, your website files and your data stay yours. On request, we give you a copy of your website files.
  • You can request an export of your data while your plan is active and for 30 days after it ends. We send it by email in a common file format within 10 business days of your request.
  • After the 30 days, we delete the data we hold for you, except what the law requires us to keep. Backups are overwritten on their normal schedule.
  • You still owe any unpaid fees.
  • Sections that by their nature last (6, 14, 15, 16, 18 and 23) keep going after service ends.

18. Disputes

Talk to us first. If you have a problem, email support@joinerlabs.com with “Dispute” in the subject, a short description and what you want. We try to settle it informally for 30 days after we get your email. Neither of us starts a lawsuit during those 30 days, except to stop urgent harm or to meet a filing deadline.

Then, the law and the courts. These Terms, and any dispute about them or our services, are governed by the laws of the State of Arkansas and applicable US federal law, without regard to conflict-of-law rules. Either of us may bring a claim in small claims court, or in the state or federal courts located in Arkansas. Each of us agrees to those courts’ jurisdiction and venue.

Nothing here stops you from filing a complaint with a government agency.

19. Personal plan buyers

If you buy a Personal app for personal, family or household use, you are a consumer.

  • We show you the price, the monthly renewal and how to cancel before you pay.
  • We email you a copy of those terms right after you sign up.
  • You can cancel online, any time, in 1 or 2 clicks, or by email.
  • The disclaimers and limits in these Terms apply only as far as the law allows.
  • Nothing in these Terms takes away rights you have under consumer protection laws that cannot be waived, including the laws of the state where you live.

We follow the automatic renewal laws that apply to you.

20. Text messages

If you give us your mobile number and agree to get texts, Joiner Labs sends texts about your project, billing and support. If you agreed to offers, we send those too. The number of messages varies. Message and data rates may apply. Reply STOP any time to stop. Reply HELP for help, or email support@joinerlabs.com. Agreeing to texts is not a condition of buying anything. Carriers are not liable for delayed or undelivered messages. The Privacy Policy says how we handle your number.

21. Changes to these Terms

We may update these Terms. We post the new version here with a new effective date. If a change adds a cost or takes something away from you, we email you at least 30 days before it applies to you. If you do not accept it, cancel before it takes effect, and the old Terms apply until then. If you keep using the services after that date, you accept the new Terms.

A change never reduces the refund promises for an order you have already placed.

22. Notices

We send notices to the email address on your account. Keep it current. A notice is delivered when we send it.

You send notices to us at support@joinerlabs.com. Put “Notice” in the subject. We take notices by email only. Both of us agree to use electronic records and signatures.

23. General terms

  • Whole agreement. These Terms, your order and any written agreement we signed are the whole agreement. They replace earlier talks about the same subject.
  • If a part fails. If a court finds part of these Terms unenforceable, the rest stays in force.
  • No waiver. If we do not enforce something right away, we have not given it up.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate, or to a buyer of or successor to our business or its assets.
  • Events beyond our control. Neither of us is liable for a delay or failure caused by something outside our reasonable control, such as an internet or power outage, a disaster or an act of government. This does not excuse a duty to pay.
  • Confidentiality. Each of us keeps the other’s non-public business information private and uses it only for the services, unless the law requires otherwise.
  • Independent parties. We are independent contractors. These Terms create no partnership or agency, and no third party gains rights under them.
  • Where we serve. Our services are offered to customers in the United States. You must follow US export and sanctions laws.
  • Our names. Joiner, Joiner Labs and our logos are ours. Do not use them without our written OK.
